THIS AGREEMENT REQUIRES<!-- [et_pb_line_break_holder] -->        THE<!-- [et_pb_line_break_holder] -->        USE<!-- [et_pb_line_break_holder] -->        OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTION LAWSUITS, AND<!-- [et_pb_line_break_holder] -->        ALSO<!-- [et_pb_line_break_holder] -->        LIMITS THE REMEDIES AVAILABLE TO CUSTOMER IN THE EVENT OF A DISPUTE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT<!-- [et_pb_line_break_holder] -->        USE<!-- [et_pb_line_break_holder] -->        THE<!-- [et_pb_line_break_holder] -->        SERVICE.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\" style=\"text-align: center;\"><!-- [et_pb_line_break_holder] -->        (Updated and Effective May 1, 2024)<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        This Master Services Agreement (\u201cMSA\u201d or \u201cAgreement\u201d), consisting of these terms and conditions and all other<!-- [et_pb_line_break_holder] -->        documents<!-- [et_pb_line_break_holder] -->        referenced herein by and between unWired Broadband, LLC (\u201cunWired,\u201d \u201cus,\u201d or \u201cwe\u201d) and the individual or entity<!-- [et_pb_line_break_holder] -->        named on<!-- [et_pb_line_break_holder] -->        the Service Contract or customized proposal, to which this Agreement is attached or hyperlinked (\u201cCustomer,\u201d<!-- [et_pb_line_break_holder] -->        \u201cyou,\u201d<!-- [et_pb_line_break_holder] -->        or<!-- [et_pb_line_break_holder] -->        \u201cyour\u201d), sets forth the terms and conditions under which unWired will make available its high speed broadband<!-- [et_pb_line_break_holder] -->        Internet<!-- [et_pb_line_break_holder] -->        services, and related services and components (collectively, the \u201cServices\u201d).<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        By using the Services, Customer agrees to be bound by the terms of this MSA and all documents incorporated by<!-- [et_pb_line_break_holder] -->        reference<!-- [et_pb_line_break_holder] -->        herein, including without limitation unwired Privacy Policy, Open Internet Policy, DMCA Copyright Infringement<!-- [et_pb_line_break_holder] -->        Notification Policy, Confirmation of Sale (\u201cCOS\u201d) (applicable only for Standard Internet Access Service), and<!-- [et_pb_line_break_holder] -->        Additional<!-- [et_pb_line_break_holder] -->        Terms (terms and conditions that will govern a new service offering) as each may be amended from time to time.<!-- [et_pb_line_break_holder] -->        If<!-- [et_pb_line_break_holder] -->        there<!-- [et_pb_line_break_holder] -->        is a conflict between this MSA and any Additional Terms, the Additional Terms shall govern.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        unWired regularly updates and amends this Agreement, the Privacy Policy, the Open Internet Policy, DMCA<!-- [et_pb_line_break_holder] -->        Copyright<!-- [et_pb_line_break_holder] -->        Infringement Notification Policy, and other documents incorporated by reference in this Agreement. unWired will<!-- [et_pb_line_break_holder] -->        communicate any such updates or amendments to Customer in accordance with the notice requirements in Section XVI<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        this<!-- [et_pb_line_break_holder] -->        Agreement.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>I. PURPOSE:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">The Customer wishes to enter into an Agreement with unWired for the provision of Services located<!-- [et_pb_line_break_holder] -->        at<!-- [et_pb_line_break_holder] -->        the service address<!-- [et_pb_line_break_holder] -->        provided by Customer (the \u201cProperty\u201d).<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">In combination with the specific Service Contract, this Agreement governs the general terms and<!-- [et_pb_line_break_holder] -->        conditions for the<!-- [et_pb_line_break_holder] -->        following Services (unless designated otherwise):<\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. \u201cStandard Internet Service\u201d \u2013 A recurring mass market retail broadband Internet<!-- [et_pb_line_break_holder] -->            access<!-- [et_pb_line_break_holder] -->            service for Residential<!-- [et_pb_line_break_holder] -->            Customers and Commercial Customers. Standard Internet Service may be provided via fixed wireless or fiber to<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            home.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">B. \u201cTier 5 Premium Internet Service\u201d \u2013 A recurring customized broadband Internet access<!-- [et_pb_line_break_holder] -->            service for large and\/or high<!-- [et_pb_line_break_holder] -->            volume Commercial Customers, delivered over a dedicated network.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">C. \u201cEnterprise Internet Service\u201d \u2013 A recurring customized broadband Internet access<!-- [et_pb_line_break_holder] -->            service<!-- [et_pb_line_break_holder] -->            for large and\/or high volume<!-- [et_pb_line_break_holder] -->            Commercial Customers that request a 100% speed guarantee, delivered over a dedicated network.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">D. \u201cSpecialized Internet Service\u201d \u2013 A customized broadband Internet access service for<!-- [et_pb_line_break_holder] -->            Commercial Customers that have<!-- [et_pb_line_break_holder] -->            short-term needs or special events (such as a fair, film\/TV production, concert or other events).<\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Combined, each Service Contract is collectively defined herein as \u201cService Contracts.\u201d<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">In mutual consideration of the terms, conditions, benefits and covenants listed in this<!-- [et_pb_line_break_holder] -->        Agreement,<!-- [et_pb_line_break_holder] -->        the Customer and<!-- [et_pb_line_break_holder] -->        unWired hereby agree as follows:<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>II. TERM:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">The Customer agrees that the term of this Agreement starts on the date unWired successfully<!-- [et_pb_line_break_holder] -->        completes<!-- [et_pb_line_break_holder] -->        the installation<!-- [et_pb_line_break_holder] -->        of the Services (\u201cService Activation Date\u201d) or services otherwise commence and continues for the \u201cInitial Term\u201d<!-- [et_pb_line_break_holder] -->        as<!-- [et_pb_line_break_holder] -->        listed in the Service Contract, and any Renewal Term, collectively a \u201cService Term.\u201d Specifics regarding early<!-- [et_pb_line_break_holder] -->        termination are in Section 7 herein.<\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. Standard Internet Service.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. The Customer agrees that the Initial Term is 12 to 24-months for recurring services, depending on<!-- [et_pb_line_break_holder] -->                    your service<!-- [et_pb_line_break_holder] -->                    contract, and shall automatically renew and continue for successive terms of one month (\u201cRenewal<!-- [et_pb_line_break_holder] -->                    Term\u201d),<!-- [et_pb_line_break_holder] -->                    unless Customer<!-- [et_pb_line_break_holder] -->                    or unWired provides thirty (30) calendar day notice to the other Party prior to the expiration of<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Initial Term or<!-- [et_pb_line_break_holder] -->                    any Renewal Term via the notice requirements under Section XVI herein.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. Moving or Transferring Service. If Customer moves to a location outside of the unWired coverage<!-- [et_pb_line_break_holder] -->                    area, Customer shall<!-- [et_pb_line_break_holder] -->                    pay the ETF as stated in their Service Contract. Customers understand, acknowledge and agree that in<!-- [et_pb_line_break_holder] -->                    addition to any<!-- [et_pb_line_break_holder] -->                    ETF, Enterprise Internet Services that utilize licensed Enterprise level connections may be subject<!-- [et_pb_line_break_holder] -->                    to<!-- [et_pb_line_break_holder] -->                    FCC relicensing<!-- [et_pb_line_break_holder] -->                    fees. These fees will be disclosed at the time of the transfer or move request.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. Unavailability of Service. If unWired no longer offers the particular service or tier package<!-- [et_pb_line_break_holder] -->                    utilized by the<!-- [et_pb_line_break_holder] -->                    Customer following the expiration of the Initial Term or any Renewal Term, with the required written<!-- [et_pb_line_break_holder] -->                    notice prior to the<!-- [et_pb_line_break_holder] -->                    expiration of the Initial Term or any Renewal Term, unWired shall place the Customer in a new<!-- [et_pb_line_break_holder] -->                    service<!-- [et_pb_line_break_holder] -->                    package which most<!-- [et_pb_line_break_holder] -->                    closely approximates the package or tier which the Customer previously utilized, unless the Customer<!-- [et_pb_line_break_holder] -->                    terminates the<!-- [et_pb_line_break_holder] -->                    Services in accord with this Agreement.<!-- [et_pb_line_break_holder] -->                    B. (b) Tier 5 Premium Internet Service.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>(b) Tier 5 Premium Internet Service.<\/strong> The Customer agrees that the Initial Term may range<!-- [et_pb_line_break_holder] -->            from 12-months to 24-months<!-- [et_pb_line_break_holder] -->            for recurring services and shall automatically renew and continue for a successive Renewal Term of up to<!-- [et_pb_line_break_holder] -->            24-months.<!-- [et_pb_line_break_holder] -->            Specifics for the Terms and requirements for early termination of the Services, if any, will be provided in<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            Tier 5<!-- [et_pb_line_break_holder] -->            Premium Internet Service Contract.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. <strong>Enterprise Internet Service.<\/strong> The Customer agrees that the Initial Term may range from<!-- [et_pb_line_break_holder] -->            12-months to 24-months and<!-- [et_pb_line_break_holder] -->            shall automatically renew for recurring services and continue for a successive Renewal Term of up to<!-- [et_pb_line_break_holder] -->            24-months.<!-- [et_pb_line_break_holder] -->            Specifics for the Terms and requirements for early termination of the Services, if any, will be provided in<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            Enterprise Service Contract.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            D. <strong>Specialized Internet Service.<\/strong> The Customer agrees that the Initial Term will vary from<!-- [et_pb_line_break_holder] -->            one<!-- [et_pb_line_break_holder] -->            day to a pre-determined<!-- [et_pb_line_break_holder] -->            number of months and that there is no Renewal Term. However, the Special Internet Service Contract may be<!-- [et_pb_line_break_holder] -->            extended for a<!-- [et_pb_line_break_holder] -->            mutually agreeable period of time by written agreement between the Parties. Notice requirements for early<!-- [et_pb_line_break_holder] -->            termination of<!-- [et_pb_line_break_holder] -->            the Services, if any, will be provided in the Specialized Internet Service Contract.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>III. SERVICE PLANS:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">There are various Residential and Commercial plans for the Standard Internet Services with<!-- [et_pb_line_break_holder] -->        different<!-- [et_pb_line_break_holder] -->        speeds and<!-- [et_pb_line_break_holder] -->        features, and each has a specific service fee that will be charged to the Customer each month of an Initial Term<!-- [et_pb_line_break_holder] -->        and<!-- [et_pb_line_break_holder] -->        Renewal Term, along with any recurring fees and taxes (\u201cMonthly Recurring Fees\u201d). Depending on the services<!-- [et_pb_line_break_holder] -->        purchased,<!-- [et_pb_line_break_holder] -->        unWired may need to install certain equipment and wiring at the Property for your Service Plan, as detailed in<!-- [et_pb_line_break_holder] -->        the<!-- [et_pb_line_break_holder] -->        Service Contract.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>IV. UNWIRED NETWORK, ACCESS AND INTERCONNECTION:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Responsibilities.<\/strong> unWired will own and control the<!-- [et_pb_line_break_holder] -->            telecommunications<!-- [et_pb_line_break_holder] -->            equipment, computers, routers, switches,<!-- [et_pb_line_break_holder] -->            servers, radios, towers, modems, cable, and wiring (\u201cunWired Equipment\u201d) and facilities installed and<!-- [et_pb_line_break_holder] -->            operated<!-- [et_pb_line_break_holder] -->            by<!-- [et_pb_line_break_holder] -->            unWired for provision of the Services to Customer (collectively, \u201cunWired Network\u201d). unWired has the right<!-- [et_pb_line_break_holder] -->            to<!-- [et_pb_line_break_holder] -->            upgrade,<!-- [et_pb_line_break_holder] -->            replace or remove the unWired Network in whole or in part, regardless of where located, so long as the<!-- [et_pb_line_break_holder] -->            Services<!-- [et_pb_line_break_holder] -->            continue<!-- [et_pb_line_break_holder] -->            to perform. unWired has the right to limit the manner in which any portion of the unWired Network is used to<!-- [et_pb_line_break_holder] -->            protect its<!-- [et_pb_line_break_holder] -->            technical integrity. Customer may not alter, move or disconnect any parts of the unWired Network and is<!-- [et_pb_line_break_holder] -->            responsible for<!-- [et_pb_line_break_holder] -->            any damage to, or loss of, the unWired Network caused by Customer\u2019s (or its end users, guests, visitors,<!-- [et_pb_line_break_holder] -->            household<!-- [et_pb_line_break_holder] -->            members) breach of this provision, negligence or willful misconduct. unWired had no obligation to install,<!-- [et_pb_line_break_holder] -->            maintain, or<!-- [et_pb_line_break_holder] -->            repair any equipment owned or provided by Customer (\u201cCustomer Equipment\u201d), unless otherwise agreed to in a<!-- [et_pb_line_break_holder] -->            writing<!-- [et_pb_line_break_holder] -->            executed by the Parties. If Customer Equipment is incompatible with the Service, Customer is responsible for<!-- [et_pb_line_break_holder] -->            any<!-- [et_pb_line_break_holder] -->            special<!-- [et_pb_line_break_holder] -->            interface equipment or facilities necessary to achieve compatibility.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>unWired Equipment.<\/strong> Customer acknowledges by signing the digital work order after<!-- [et_pb_line_break_holder] -->            installation, that the unWired<!-- [et_pb_line_break_holder] -->            Equipment listed was installed at a location and in the manner authorized by Customer at the Customer\u2019s<!-- [et_pb_line_break_holder] -->            Property<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            other structure. Customer further acknowledges that the unWired Equipment may, at unWired\u2019s sole discretion,<!-- [et_pb_line_break_holder] -->            be<!-- [et_pb_line_break_holder] -->            refurbished or otherwise used equipment. unWired Equipment shall remain at all times, the exclusive property<!-- [et_pb_line_break_holder] -->            of<!-- [et_pb_line_break_holder] -->            unWired<!-- [et_pb_line_break_holder] -->            and will be provided to the Customer under the terms set forth in this Agreement and the Service Contract.<!-- [et_pb_line_break_holder] -->            Customer<!-- [et_pb_line_break_holder] -->            shall acquire no interest in unWired Equipment by virtue of the payments provided for herein or the<!-- [et_pb_line_break_holder] -->            attachment<!-- [et_pb_line_break_holder] -->            of any<!-- [et_pb_line_break_holder] -->            portion of unWired Equipment to the Customer\u2019s Property or otherwise deemed part of the Customer\u2019s realty.<!-- [et_pb_line_break_holder] -->            The<!-- [et_pb_line_break_holder] -->            unWired<!-- [et_pb_line_break_holder] -->            Equipment is not and shall never be considered a fixture to Customer\u2019s Property.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. Upon termination of the Services, Customer will return the unWired Equipment within ten (10)<!-- [et_pb_line_break_holder] -->                    calendar<!-- [et_pb_line_break_holder] -->                    days, and in<!-- [et_pb_line_break_holder] -->                    accordance with unWired\u2019s then-current return procedures. If the unWired Equipment is not returned<!-- [et_pb_line_break_holder] -->                    or is<!-- [et_pb_line_break_holder] -->                    damaged, lost,<!-- [et_pb_line_break_holder] -->                    stolen or is otherwise inoperable, Customer will pay each applicable \u201cUnreturned Equipment Fee\u201d<!-- [et_pb_line_break_holder] -->                    listed<!-- [et_pb_line_break_holder] -->                    in the Service<!-- [et_pb_line_break_holder] -->                    Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. Customer may move the Services to a new home or premises assuming the Services are available at<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    new home or<!-- [et_pb_line_break_holder] -->                    premises. Customer understands, acknowledges and agrees that any unWired Equipment used for the<!-- [et_pb_line_break_holder] -->                    current<!-- [et_pb_line_break_holder] -->                    Services may be<!-- [et_pb_line_break_holder] -->                    incompatible with the new Services and therefore, Customer may be subject to new unWired Equipment<!-- [et_pb_line_break_holder] -->                    and<!-- [et_pb_line_break_holder] -->                    installation fees<!-- [et_pb_line_break_holder] -->                    for any move.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. Customer may also upgrade the Services at any time to a higher Tier or plan. There is no<!-- [et_pb_line_break_holder] -->                    additional<!-- [et_pb_line_break_holder] -->                    fee to upgrade<!-- [et_pb_line_break_holder] -->                    the Services; however, Customer will be subject to a higher Monthly Recurring Fee. unWired will<!-- [et_pb_line_break_holder] -->                    provide<!-- [et_pb_line_break_holder] -->                    all necessary<!-- [et_pb_line_break_holder] -->                    unWired Equipment as part of the Monthly Recurring Fee.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iv. Customer may also downgrade the Services to a lower Tier or plan but only under certain<!-- [et_pb_line_break_holder] -->                    conditions.<!-- [et_pb_line_break_holder] -->                    Restrictions<!-- [et_pb_line_break_holder] -->                    will be set forth in the Service Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. <strong>Access.<\/strong> Customer must provide unWired\u2019s employees, representatives, agents, independent<!-- [et_pb_line_break_holder] -->            contractors and operational<!-- [et_pb_line_break_holder] -->            service providers (\u201cAuthorized Parties\u201d) the right to enter Customer\u2019s property and premises at any time for<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            purpose<!-- [et_pb_line_break_holder] -->            of intalling, operating or maintaining the unWired Equipment or the unWired Network, retrieving unWired<!-- [et_pb_line_break_holder] -->            Equipment or<!-- [et_pb_line_break_holder] -->            fulfilling its obligations or exercising its rights under this Agreement. unWired shall provide customer<!-- [et_pb_line_break_holder] -->            with<!-- [et_pb_line_break_holder] -->            reasonable<!-- [et_pb_line_break_holder] -->            advance notice of any such planned access, except when, in the reasonable opinion of unWired, an emergency<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            other<!-- [et_pb_line_break_holder] -->            exigent circumstance exists that would require unWired to immediately enter Customer\u2019s property and<!-- [et_pb_line_break_holder] -->            premises.<!-- [et_pb_line_break_holder] -->            Upon<!-- [et_pb_line_break_holder] -->            written request, the Customer will be provided with a certificate of insurance evidencing insurance<!-- [et_pb_line_break_holder] -->            coverage.<!-- [et_pb_line_break_holder] -->            Customer<!-- [et_pb_line_break_holder] -->            must provide, at its expense, the following: (i) appropriate space, power and environmental conditioning;<!-- [et_pb_line_break_holder] -->            and<!-- [et_pb_line_break_holder] -->            (ii)<!-- [et_pb_line_break_holder] -->            reasonable access rights and\/or rights or way from third parties, as may be required for installation and<!-- [et_pb_line_break_holder] -->            maintenance of<!-- [et_pb_line_break_holder] -->            the unWired Network at and into Customer\u2019s Property.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            D. <strong>Demarcation Point, Inside Wiring and Activation Support.<\/strong> unWired shall be responsible<!-- [et_pb_line_break_holder] -->            for<!-- [et_pb_line_break_holder] -->            provisioning Service up to<!-- [et_pb_line_break_holder] -->            the Demarcation Point on Customer\u2019s Property and Customer is responsible for providing and maintaining any<!-- [et_pb_line_break_holder] -->            necessary<!-- [et_pb_line_break_holder] -->            wiring and facilities on Customer\u2019s side of the Demarcation Point. \u201cDemarcation Point\u201d means the unWired<!-- [et_pb_line_break_holder] -->            designated<!-- [et_pb_line_break_holder] -->            physical interface between the unWired Network and Customer Equipment, which point shall be either (i) in<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            case of a<!-- [et_pb_line_break_holder] -->            Service terminating at unWired\u2019s side of the Demarcation Point or (ii) in the case of a Service terminating<!-- [et_pb_line_break_holder] -->            at<!-- [et_pb_line_break_holder] -->            Customer\u2019s Property, the distribution panel or network interface device located at the common<!-- [et_pb_line_break_holder] -->            telecommunications<!-- [et_pb_line_break_holder] -->            (\u201ctelco\u201d) demarcation at the Customer\u2019s side of the Demarcation Point (e.g., entry point for telco<!-- [et_pb_line_break_holder] -->            facilities,<!-- [et_pb_line_break_holder] -->            telco<!-- [et_pb_line_break_holder] -->            closet or common telco room). If requested by Customer, unWired\u2019s Authorized Parties may install,<!-- [et_pb_line_break_holder] -->            co-ordinate or<!-- [et_pb_line_break_holder] -->            otherwise arrange for installing or obtaining from third parties, facilities on Customer\u2019s side of the<!-- [et_pb_line_break_holder] -->            Demarcation Point<!-- [et_pb_line_break_holder] -->            (\u2018Inside Wiring\u201d) and\/or assist Customer with activation and\/or configuring equipment on Customer\u2019s side of<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            Demarcation Point (\u201cActivation Support\u201d). Customer agrees to pay the hourly labor rates posted at<!-- [et_pb_line_break_holder] -->            www.getunwired.com for<!-- [et_pb_line_break_holder] -->            any Inside Wiring and Activation Support performed by unWired personnel and agrees that unWired may bill<!-- [et_pb_line_break_holder] -->            Customer for<!-- [et_pb_line_break_holder] -->            any third-party charges it incurs to provide Inside Wiring.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">E. <strong>Letter of Authorization \/ Carrier Facility Agreement.<\/strong> If Customer<!-- [et_pb_line_break_holder] -->            intends to connect Services to facilities that<!-- [et_pb_line_break_holder] -->            neither Customer nor unWired owns, it must provide unWired with and maintain (for the Service Term) a<!-- [et_pb_line_break_holder] -->            current<!-- [et_pb_line_break_holder] -->            letter of<!-- [et_pb_line_break_holder] -->            authorization and carrier facility assignment as applicable.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            F. <strong>Customer Equipment.<\/strong> As set forth below and in the Open Internet Transparency Policy,<!-- [et_pb_line_break_holder] -->            Customer is not permitted to<!-- [et_pb_line_break_holder] -->            connect any harmful Customer Equipment to the unWired Equipment or the unWired Network. Customer understands<!-- [et_pb_line_break_holder] -->            that<!-- [et_pb_line_break_holder] -->            failure to comply with this restriction may cause damage to the unWired Network and may subject Customer to<!-- [et_pb_line_break_holder] -->            monetary<!-- [et_pb_line_break_holder] -->            damages and\/or other liability as permitted by applicable local, state or federal statues, regulations,<!-- [et_pb_line_break_holder] -->            guidelines,<!-- [et_pb_line_break_holder] -->            ordinances, or policies (collectively, \u201cApplicable Law\u201d).<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            G. <strong>Customer Back-Up Requirements.<\/strong> Customer understands, acknowledges and agrees that prior<!-- [et_pb_line_break_holder] -->            to<!-- [et_pb_line_break_holder] -->            unWired servicing any<!-- [et_pb_line_break_holder] -->            Customer Equipment or unWired Equipment, it is Customer\u2019s responsibility to: (i) back-up the data, software,<!-- [et_pb_line_break_holder] -->            information<!-- [et_pb_line_break_holder] -->            or other files stored on Customer\u2019s computer or other device including but not limited to disk drives,<!-- [et_pb_line_break_holder] -->            peripherals, MP3<!-- [et_pb_line_break_holder] -->            player, DVD player, camcorder, digital camera and\/or on any other electronic storage device; and (ii) remove<!-- [et_pb_line_break_holder] -->            all<!-- [et_pb_line_break_holder] -->            videotapes, compact disks, floppy disks, laser disks, cassettes, DVDs, film or other media from Customer\u2019s<!-- [et_pb_line_break_holder] -->            equipment.<!-- [et_pb_line_break_holder] -->            Under no circumstances shall unWired and\/or its Operational Service Provider(s), be liable under any<!-- [et_pb_line_break_holder] -->            circumstances for<!-- [et_pb_line_break_holder] -->            any loss, disclosure, alteration or corruption of any Customer data, software, information, files,<!-- [et_pb_line_break_holder] -->            videotapes,<!-- [et_pb_line_break_holder] -->            compact<!-- [et_pb_line_break_holder] -->            disks, floppy disks, laser disks, cassettes, DVDs, film or other media.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>V. INSTALLATION AND MAINTENANCE<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Installation.<\/strong> unWired will notify Customer when the Service has been<!-- [et_pb_line_break_holder] -->            successfully installed and is available for<!-- [et_pb_line_break_holder] -->            Customer\u2019s use (\u201cService Activation Date\u201d). Unless Customer notifies unWired by the close of business on the<!-- [et_pb_line_break_holder] -->            Service<!-- [et_pb_line_break_holder] -->            Activation Date that the Service is not operational, the Service Term will commence. If Customer so notifies<!-- [et_pb_line_break_holder] -->            unWired as<!-- [et_pb_line_break_holder] -->            required for performance guarantees in Section VII herein, the Service Activation Date will not occur and<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            Service<!-- [et_pb_line_break_holder] -->            Term will not commence until the Service is operating properly. The Service Date will not be delayed or<!-- [et_pb_line_break_holder] -->            postponed due to<!-- [et_pb_line_break_holder] -->            problems with Customer Equipment or Customer\u2019s lack of readiness to accept or use Service. Additional<!-- [et_pb_line_break_holder] -->            charges,<!-- [et_pb_line_break_holder] -->            such as a<!-- [et_pb_line_break_holder] -->            \u201cTechnician Roll-Out Charge\u201d of one-hundred and seventy dollars ($170.00 US), may be assessed if the<!-- [et_pb_line_break_holder] -->            Customer<!-- [et_pb_line_break_holder] -->            cancels<!-- [et_pb_line_break_holder] -->            the agreed upon installation appointment with less than 24-hour notice or requires additional service trips<!-- [et_pb_line_break_holder] -->            due<!-- [et_pb_line_break_holder] -->            to being<!-- [et_pb_line_break_holder] -->            unprepared for the installation.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            <strong>B. Maintenance:<\/strong><!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    <span class=\"ma-text-underline\">i. Scheduled Maintenance.<\/span> unWired will monitor the unWired<!-- [et_pb_line_break_holder] -->                    Network 24 hours per day, 7 days per week. Scheduled<!-- [et_pb_line_break_holder] -->                    Maintenance will be performed between the hours of midnight and 6:00 a.m. (local time where the<!-- [et_pb_line_break_holder] -->                    maintenance is being<!-- [et_pb_line_break_holder] -->                    performed) unless another time is agreed to by the Parties for the particular circumstance. unWired<!-- [et_pb_line_break_holder] -->                    will<!-- [et_pb_line_break_holder] -->                    endeavor to<!-- [et_pb_line_break_holder] -->                    provide Customer with at least five business days\u2019 notice before performing Scheduled Maintenance<!-- [et_pb_line_break_holder] -->                    unless<!-- [et_pb_line_break_holder] -->                    a shorter<!-- [et_pb_line_break_holder] -->                    monthly invoice. Any additional non-recurring charges created beyond the first month will be billed<!-- [et_pb_line_break_holder] -->                    at<!-- [et_pb_line_break_holder] -->                    time of service.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. <span class=\"ma-text-underline\">Security Deposit.<\/span> unWired may require a deposit prior to<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    provision of any new service as a condition to its<!-- [et_pb_line_break_holder] -->                    obligation to continue to provide Service(s) if Customer has a poor credit rating and\/or failed to<!-- [et_pb_line_break_holder] -->                    timely pay for<!-- [et_pb_line_break_holder] -->                    Service(s) on two occasions during any six-month period (\u201cSecurity Deposit\u201d). The Security Deposit<!-- [et_pb_line_break_holder] -->                    will<!-- [et_pb_line_break_holder] -->                    be refunded to<!-- [et_pb_line_break_holder] -->                    Customer at the end of the Initial Term, unless Customer has terminated the Service prior to the end<!-- [et_pb_line_break_holder] -->                    of<!-- [et_pb_line_break_holder] -->                    the Initial<!-- [et_pb_line_break_holder] -->                    Term. unWired will then deduct any early termination fee (\u201cEarly Termination Fee\u201d or \u201cETF\u201d) from the<!-- [et_pb_line_break_holder] -->                    Security Deposit as<!-- [et_pb_line_break_holder] -->                    set forth in Section 7 herein or in the applicable Service Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. <span class=\"ma-text-underline\">Taxes.<\/span> unWired will invoice Customer for applicable<!-- [et_pb_line_break_holder] -->                    Taxes<!-- [et_pb_line_break_holder] -->                    (defined below) and, whenever possible, will identify<!-- [et_pb_line_break_holder] -->                    such charges as a separate line item on the invoice. Customer notice period is required under the<!-- [et_pb_line_break_holder] -->                    circumstances.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\">iv. <span class=\"ma-text-underline\">Emergency Maintenance.<\/span> If unWired<!-- [et_pb_line_break_holder] -->                    has<!-- [et_pb_line_break_holder] -->                    to perform maintenance outside of the Scheduled Maintenance window set forth<!-- [et_pb_line_break_holder] -->                    in Section 2(b)(i) above, then unWired will provide as much prior notice to Customer as is<!-- [et_pb_line_break_holder] -->                    practicable<!-- [et_pb_line_break_holder] -->                    under the<!-- [et_pb_line_break_holder] -->                    circumstances.<\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee><strong>VI. CHARGES, BILLING AND PAYMENT<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Monthly Bills.<\/strong> Services are billed on a monthly basis commencing<!-- [et_pb_line_break_holder] -->            with<!-- [et_pb_line_break_holder] -->            the Service Activation Date. Services are<!-- [et_pb_line_break_holder] -->            invoiced in advance, but additional charges are invoiced in arrears. Any installation or other non-recurring<!-- [et_pb_line_break_holder] -->            charges,<!-- [et_pb_line_break_holder] -->            which are non-refundable, will appear on the first will be liable for Taxes which are assessed by or paid to<!-- [et_pb_line_break_holder] -->            an<!-- [et_pb_line_break_holder] -->            appropriate taxing authority within the applicable statute of limitations period. If Customer fails to pay<!-- [et_pb_line_break_holder] -->            any<!-- [et_pb_line_break_holder] -->            Taxes<!-- [et_pb_line_break_holder] -->            properly billed, then as between unWired and Customer, Customer will be solely responsible for payment of<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            Taxes, and<!-- [et_pb_line_break_holder] -->            penalty and interest.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>\u201cTax\u201d or \u201cTaxes.\u201d<\/strong> Means any federal, state or local excise, gross receipts, value added,<!-- [et_pb_line_break_holder] -->            sales, use or other similar<!-- [et_pb_line_break_holder] -->            tax, fee, tax-like fee or surcharge of whatever nature and however designated, imposed, or sought to be<!-- [et_pb_line_break_holder] -->            imposed,<!-- [et_pb_line_break_holder] -->            on or<!-- [et_pb_line_break_holder] -->            with respect to purchases by Customer from unWired for consideration under this Agreement or for unWired\u2019s<!-- [et_pb_line_break_holder] -->            use<!-- [et_pb_line_break_holder] -->            of public<!-- [et_pb_line_break_holder] -->            streets or rights of way, which unWired is required or permitted by law or a tariff to collect from<!-- [et_pb_line_break_holder] -->            Customer.<!-- [et_pb_line_break_holder] -->            The term<!-- [et_pb_line_break_holder] -->            \u201cTax\u201d will not include any tax on unWired \u2019s corporate existence, status, income, corporate property or<!-- [et_pb_line_break_holder] -->            payroll<!-- [et_pb_line_break_holder] -->            taxes.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. If either Party is audited by a taxing or other governmental authority, the other Party agrees to<!-- [et_pb_line_break_holder] -->                    cooperate<!-- [et_pb_line_break_holder] -->                    reasonably by responding to the audit inquires in a proper, complete and timely manner. unWired will<!-- [et_pb_line_break_holder] -->                    cooperate, at<!-- [et_pb_line_break_holder] -->                    Customer\u2019s expense, with reasonable requests of Customer in connection with any Tax contest or<!-- [et_pb_line_break_holder] -->                    refund<!-- [et_pb_line_break_holder] -->                    claim. The<!-- [et_pb_line_break_holder] -->                    Customer will ensure that no lien is attached to or allowed to remain on any asset of unWired as a<!-- [et_pb_line_break_holder] -->                    result of any Tax<!-- [et_pb_line_break_holder] -->                    contest. Customer will indemnify and hold unWired harmless against any liabilities, damages, losses,<!-- [et_pb_line_break_holder] -->                    costs or expenses<!-- [et_pb_line_break_holder] -->                    arising out of such Tax proceedings, including without limitation any additional Taxes, interest,<!-- [et_pb_line_break_holder] -->                    penalties and attorney<!-- [et_pb_line_break_holder] -->                    or CPA fees.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. If Customer claims an exemption for any Taxes, Customer must provide unWired with a proper tax<!-- [et_pb_line_break_holder] -->                    exemption certificate<!-- [et_pb_line_break_holder] -->                    as authorized by the appropriate tax authority. Customer must pay the applicable Taxes to unWired<!-- [et_pb_line_break_holder] -->                    until<!-- [et_pb_line_break_holder] -->                    it provides<!-- [et_pb_line_break_holder] -->                    unWired with a valid tax exemption certificate. If any Applicable Law exempts a Service under this<!-- [et_pb_line_break_holder] -->                    Agreement from a Tax,<!-- [et_pb_line_break_holder] -->                    but does not also provide an exemption procedure, then unWired will not collect such Tax if Customer<!-- [et_pb_line_break_holder] -->                    provides unWired<!-- [et_pb_line_break_holder] -->                    with a letter signed by one of its officers: (A) claiming a right to the exemption; (B) identifying<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Applicable Law<!-- [et_pb_line_break_holder] -->                    that allows such exemption and does not require an exemption certificate; and (C) agreeing to<!-- [et_pb_line_break_holder] -->                    indemnify<!-- [et_pb_line_break_holder] -->                    and hold unWired<!-- [et_pb_line_break_holder] -->                    harmless from any Tax, interest, penalties, loss, costs or expenses (including without limitation<!-- [et_pb_line_break_holder] -->                    reasonable attorneys<!-- [et_pb_line_break_holder] -->                    and\/or CPA fees) asserted against unWired and as a result of its not collecting the Taxes from<!-- [et_pb_line_break_holder] -->                    Customer.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. <strong>Due Dates.<\/strong> Monthly Recurring Fees and payment for all undisputed amounts due under this<!-- [et_pb_line_break_holder] -->            Agreement must be received by<!-- [et_pb_line_break_holder] -->            unWired on or before the due date specified on the bill (\u201cDue Date\u201d).<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. For Standard Internet Services, Tiers 1-4, any payment or portion not received by the Due Date is<!-- [et_pb_line_break_holder] -->                    subject to a<!-- [et_pb_line_break_holder] -->                    ten-dollar $10.00 \u201cLate Fee\u201d each month overdue.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. For Tier 5 Premium Internet Services and Enterprise Services, the Late Fee will be set forth in<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Tier 5 Service<!-- [et_pb_line_break_holder] -->                    Contact or Enterprise Service Contract, as applicable.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. For all Customer accounts that are past due fifteen (15) calendar days or more may be suspended<!-- [et_pb_line_break_holder] -->                    without notice.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iv. All accounts suspended or terminated for nonpayment are subject to a \u201cService Reinstatement Fee\u201d<!-- [et_pb_line_break_holder] -->                    of<!-- [et_pb_line_break_holder] -->                    twenty-five<!-- [et_pb_line_break_holder] -->                    dollars ($25.00 US).<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">D. <strong>Credit Card Authorization; Billing:<\/strong><!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. Customer authorizes unWired to charge Customer\u2019s credit card for the Services, and any and all<!-- [et_pb_line_break_holder] -->                    recurring charges due<!-- [et_pb_line_break_holder] -->                    to unWired under the Agreement, including any applicable Early Termination Fee. unWired will provide<!-- [et_pb_line_break_holder] -->                    Customer with an<!-- [et_pb_line_break_holder] -->                    itemized monthly statement by email describing all chargesn the event Customer\u2019s credit card, or<!-- [et_pb_line_break_holder] -->                    other<!-- [et_pb_line_break_holder] -->                    method of<!-- [et_pb_line_break_holder] -->                    payment, fails to provide payment to unWired for any reason, Customer shall remain liable for<!-- [et_pb_line_break_holder] -->                    amounts<!-- [et_pb_line_break_holder] -->                    due under this<!-- [et_pb_line_break_holder] -->                    Agreement, and shall provide another card or method of payment to unWired.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. Additionally, Customer will automatically be charged a twenty-five dollars ($25.00 US)<!-- [et_pb_line_break_holder] -->                    \u201cNon-Payment\/ACH Fee\u201d for any<!-- [et_pb_line_break_holder] -->                    check or Automated Clearing House (\u201cACH\u201d) payment returned for non-payment or insufficient funds, or<!-- [et_pb_line_break_holder] -->                    for<!-- [et_pb_line_break_holder] -->                    any credit card<!-- [et_pb_line_break_holder] -->                    chargeback.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee><strong>VII. SERVICE LEVEL AGREEMENT, PERFORMANCE GUARANTEE AND SERVICE OUTAGE CREDITS<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Notwithstanding anything to the contrary in this Agreement or any SLA, Customer understands,<!-- [et_pb_line_break_holder] -->        acknowledges and agrees<!-- [et_pb_line_break_holder] -->        that any SLA or performance guarantee, and associated rights and remedies do not apply to \u201cOff-Net\u201d connections,<!-- [et_pb_line_break_holder] -->        whether<!-- [et_pb_line_break_holder] -->        or not specified in any other agreement between Customer and unWired. Off-Net connections, which are provided by<!-- [et_pb_line_break_holder] -->        a<!-- [et_pb_line_break_holder] -->        local<!-- [et_pb_line_break_holder] -->        exchange carrier, do not include any service or performance guarantee.<\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            A. <strong>Service Level Agreement (\u201cSLA\u201d).<\/strong> Only the Enterprise Internet Service is subject to an<!-- [et_pb_line_break_holder] -->            SLA,<!-- [et_pb_line_break_holder] -->            and it is set forth at<!-- [et_pb_line_break_holder] -->            <a href=\"https:\/\/getunwired.com\/SLAs\">www.getunwired.com\/SLAs<\/a>.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">B. <strong>Performance Guarantee.<\/strong> Standard Internet Services, and Premium<!-- [et_pb_line_break_holder] -->            Internet<!-- [et_pb_line_break_holder] -->            Service are subject to the following<!-- [et_pb_line_break_holder] -->            \u201cPerformance Guarantees\u201d:<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. <span class=\"ma-text-underline\">Quality of Service Upon Installation.<\/span> Services may be<!-- [et_pb_line_break_holder] -->                    cancelled by Customer without penalty for quality of service<!-- [et_pb_line_break_holder] -->                    issues after the initial installation, subject to unWired\u2019s opportunity to cure any service problem<!-- [et_pb_line_break_holder] -->                    with-in three (3)<!-- [et_pb_line_break_holder] -->                    business days after Customer\u2019s notification. Customer must first notify unWired of Service<!-- [et_pb_line_break_holder] -->                    performance<!-- [et_pb_line_break_holder] -->                    issue via email<!-- [et_pb_line_break_holder] -->                    within three (3) calendar days of installation. If the Service is not operating properly after<!-- [et_pb_line_break_holder] -->                    unWired\u2019s<!-- [et_pb_line_break_holder] -->                    cure period,<!-- [et_pb_line_break_holder] -->                    Customer may request cancellation of the Service Contract and this Agreement in full with-in seven<!-- [et_pb_line_break_holder] -->                    (7)<!-- [et_pb_line_break_holder] -->                    business days of<!-- [et_pb_line_break_holder] -->                    Customer\u2019s installation date. If the first monthly bill has been processed and submitted to Customer<!-- [et_pb_line_break_holder] -->                    prior to the<!-- [et_pb_line_break_holder] -->                    cancellation request, unWired will credit a prorated portion of the Monthly Recurring Fee.<!-- [et_pb_line_break_holder] -->                    <strong>Customer understands,<!-- [et_pb_line_break_holder] -->                        acknowledges and agrees that the Installation Fee will not be refunded.<\/strong><!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. <span class=\"ma-text-underline\">Guarantee of Speed.<\/span> unWired will guarantee 75% of the<!-- [et_pb_line_break_holder] -->                    maximum<!-- [et_pb_line_break_holder] -->                    information rates (\u201cMRIs\u201d) for upload and download<!-- [et_pb_line_break_holder] -->                    speeds listed for each Service plan description. The MRIs may be found <a<!-- [et_pb_line_break_holder] -->                        href=&#8221;https:\/\/getnextgenfiber.com\/residential\/&#8221;>here.<\/a><!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. <span class=\"ma-text-underline\">Service Outage.<\/span> unWired will also credit a Customer in<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    event there is a Service Outage during the Service Term.<!-- [et_pb_line_break_holder] -->                    \u201cService Outage\u201d is defined as either: (A) material non-compliance with a specific performance<!-- [et_pb_line_break_holder] -->                    metric<!-- [et_pb_line_break_holder] -->                    caused by the<!-- [et_pb_line_break_holder] -->                    unWired Network; or (B) a complete loss of transmission or reception capability for a Service caused<!-- [et_pb_line_break_holder] -->                    by<!-- [et_pb_line_break_holder] -->                    the unWired<!-- [et_pb_line_break_holder] -->                    Network. Service Outages do not include outages and failures caused by the acts or omissions of<!-- [et_pb_line_break_holder] -->                    Customer<!-- [et_pb_line_break_holder] -->                    or Customer<!-- [et_pb_line_break_holder] -->                    Equipment, third parties, a Force Majeure Event (as defined in Section 24 herein), or outages<!-- [et_pb_line_break_holder] -->                    occurring<!-- [et_pb_line_break_holder] -->                    during scheduled<!-- [et_pb_line_break_holder] -->                    or emergency maintenance.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iv.<span class=\"ma-text-underline\">Service Outage Credits.<\/span> unWired will provide a credit of<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Monthly Recurring Fee for a Service Outage exceeding<!-- [et_pb_line_break_holder] -->                    thirty (30) minutes. The credit will be calculated on a pro rata basis by multiplying the duration<!-- [et_pb_line_break_holder] -->                    of<!-- [et_pb_line_break_holder] -->                    the Service Outage<!-- [et_pb_line_break_holder] -->                    by the applicable Monthly Recurring Fees, divided by the days in the monthly period.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    v. <span class=\"ma-text-underline\">Reporting and Tracking of Service Outage.<\/span> If there is a<!-- [et_pb_line_break_holder] -->                    Service Outage, Customer must contact unWired Technical<!-- [et_pb_line_break_holder] -->                    Support within 24 hours at 559-261-4444 option 2 and unWired will open a trouble ticket and provide<!-- [et_pb_line_break_holder] -->                    Customer with a<!-- [et_pb_line_break_holder] -->                    trouble ticket number for tracking purposes.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    vi. <span class=\"ma-text-underline\">Duration of Service Outage and Application of Credits.<\/span><!-- [et_pb_line_break_holder] -->                    For<!-- [et_pb_line_break_holder] -->                    the purpose of calculating applicable credits, a Service<!-- [et_pb_line_break_holder] -->                    Outage begins when Customer reports the Service Outage to unWired\u2019s Technical Support, and ends when<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Service is<!-- [et_pb_line_break_holder] -->                    restored. The duration of a Service Outage does not include any time during which unWired is not<!-- [et_pb_line_break_holder] -->                    allowed<!-- [et_pb_line_break_holder] -->                    access to the<!-- [et_pb_line_break_holder] -->                    premises necessary to restore the Service. Credits for Service Outages are only issued if requested<!-- [et_pb_line_break_holder] -->                    by<!-- [et_pb_line_break_holder] -->                    Customer, and<!-- [et_pb_line_break_holder] -->                    such requests must be submitted to unWired within ten (10) business days from the date Service is<!-- [et_pb_line_break_holder] -->                    restored.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    vii. <span class=\"ma-text-underline\">Chronic Trouble Services.<\/span> If two Service Outages have<!-- [et_pb_line_break_holder] -->                    occurred on a particular Service during a thirty (30)<!-- [et_pb_line_break_holder] -->                    calendar day period, and a third Service Outage occurs within thirty (30) calendar days following<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    second Service<!-- [et_pb_line_break_holder] -->                    Outage, Customer may terminate the applicable Service without any early termination liability,<!-- [et_pb_line_break_holder] -->                    provided<!-- [et_pb_line_break_holder] -->                    that Customer<!-- [et_pb_line_break_holder] -->                    supplies unWired with a written termination notice no later than ten (10) calendar days following<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    third Service<!-- [et_pb_line_break_holder] -->                    Outage. The Service will be terminated no later than two business days upon receipt of Customer\u2019s<!-- [et_pb_line_break_holder] -->                    request.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    viii. <span class=\"ma-text-underline\">Remedies.<\/span> Notwithstanding anything to be the contrary<!-- [et_pb_line_break_holder] -->                    in<!-- [et_pb_line_break_holder] -->                    this Agreement, the remedies set forth in the SLA for<!-- [et_pb_line_break_holder] -->                    Enterprise Services and in Sections XVII(b) and 4(e) herein for Standard Internet Services and Tier<!-- [et_pb_line_break_holder] -->                    5<!-- [et_pb_line_break_holder] -->                    Premium Internet<!-- [et_pb_line_break_holder] -->                    Services constitute Customer\u2019s sole and exclusive remedy for below standard performance.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ix. <span class=\"ma-text-underline\">Service Disruptions Not Caused by the unWired Network.<\/span> If<!-- [et_pb_line_break_holder] -->                    unWired responds to a service call initiated by Customer,<!-- [et_pb_line_break_holder] -->                    and unWired reasonably determines that the cause of the problem is: (i) not due to the unWired<!-- [et_pb_line_break_holder] -->                    Network;<!-- [et_pb_line_break_holder] -->                    or (ii) is on<!-- [et_pb_line_break_holder] -->                    Customer\u2019s side of the Demarcation Point, Customer must compensate unWired for the service call at<!-- [et_pb_line_break_holder] -->                    unWired\u2019s then<!-- [et_pb_line_break_holder] -->                    prevailing hourly rates for labor posted at www.getunwired.com and the cost of any materials.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee><strong>VIII. GOVERNMENT REGULATIONS: CHANGES<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Applicable Law.<\/strong> Each Party must comply with all Applicable Laws in<!-- [et_pb_line_break_holder] -->            performing its obligations hereunder. To the<!-- [et_pb_line_break_holder] -->            extent any provision in this Agreement conflicts with any Applicable Law, the Applicable Law will supersede<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            conflicting provision.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>Regulatory Requirements.<\/strong> unWired may discontinue or impose additional requirements to<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            provision of Service, upon<!-- [et_pb_line_break_holder] -->            ten (10) business days written notice, if necessary to meet regulatory requirements or if such requirements<!-- [et_pb_line_break_holder] -->            have<!-- [et_pb_line_break_holder] -->            a<!-- [et_pb_line_break_holder] -->            material, adverse impact on the economic feasibility of unWired providing the Services. Customer is not<!-- [et_pb_line_break_holder] -->            responsible for<!-- [et_pb_line_break_holder] -->            notice requirements or Early Termination Fees set forth in Sec. 7 below if unWired discontinues the Services<!-- [et_pb_line_break_holder] -->            under this<!-- [et_pb_line_break_holder] -->            subsection.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee><strong>IX. TERMINATION BY UNWIRED:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            A. <strong>Termination With Advance Notice.<\/strong> unWired may disconnect all Service(s) associated with a<!-- [et_pb_line_break_holder] -->            delinquent account upon ten<!-- [et_pb_line_break_holder] -->            (10) business days written notice for Customer\u2019s failure to pay amounts due under this Agreement which<!-- [et_pb_line_break_holder] -->            remain<!-- [et_pb_line_break_holder] -->            uncured at<!-- [et_pb_line_break_holder] -->            the end of the notice period; (i) Customer\u2019s insolvency, bankruptcy, assignment for benefit of creditors,<!-- [et_pb_line_break_holder] -->            appointment of<!-- [et_pb_line_break_holder] -->            trustee or receiver; and\/or (ii) any governmental prohibition or required alteration of the Services.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>Termination Without Advance Notice.<\/strong> unWired may terminate or suspend Services without<!-- [et_pb_line_break_holder] -->            advance notice if: (i)<!-- [et_pb_line_break_holder] -->            necessary to protect the unWired Network; (ii) unWired has reasonable evidence or belief of Customer\u2019s<!-- [et_pb_line_break_holder] -->            illegal,<!-- [et_pb_line_break_holder] -->            improper<!-- [et_pb_line_break_holder] -->            or unauthorized use of Services or any violation of this Agreement or AUP, including non-payment; or (iii)<!-- [et_pb_line_break_holder] -->            required by<!-- [et_pb_line_break_holder] -->            duly authorized legal or regulatory authority.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. <strong>Post Termination.<\/strong> Any termination or disconnection shall not relieve Customer of any<!-- [et_pb_line_break_holder] -->            liability incurred prior to such<!-- [et_pb_line_break_holder] -->            termination or disconnection, or for payment of unaffected Services. unWired retains the right to pursue all<!-- [et_pb_line_break_holder] -->            available<!-- [et_pb_line_break_holder] -->            legal remedies if it terminates this Agreement or disconnects Service(s) in accordance with this Agreement.<!-- [et_pb_line_break_holder] -->            All<!-- [et_pb_line_break_holder] -->            terms<!-- [et_pb_line_break_holder] -->            and conditions of this Agreement shall continue to apply to any Services not so terminated, regardless of<!-- [et_pb_line_break_holder] -->            the<!-- [et_pb_line_break_holder] -->            termination of any other Services.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            D. <strong>Restoration of Terminated Services.<\/strong> If unWired terminates a Service in accordance with<!-- [et_pb_line_break_holder] -->            this<!-- [et_pb_line_break_holder] -->            Agreement, and Customer<!-- [et_pb_line_break_holder] -->            wants to restore such Service, Customer must first pay all past due charges, all Late Fees, a \u201cService<!-- [et_pb_line_break_holder] -->            Reinstatement<!-- [et_pb_line_break_holder] -->            Fee\u201d as detailed in the Service Contract and a deposit equal to two (2) months\u2019 Monthly Recurring Fees. All<!-- [et_pb_line_break_holder] -->            requests for<!-- [et_pb_line_break_holder] -->            disconnection will be processed by unWired in thirty (30) calendar days or less. Customer must pay for<!-- [et_pb_line_break_holder] -->            Services<!-- [et_pb_line_break_holder] -->            until<!-- [et_pb_line_break_holder] -->            such disconnection actually occurs.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>X. TERMINATION BY CUSTOMER<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Termination for Cause.<\/strong> In addition to the Service Level Standards in<!-- [et_pb_line_break_holder] -->            Section 4 herein, any Customer may terminate<!-- [et_pb_line_break_holder] -->            this Agreement and\/or any Service Contract hereunder upon thirty (30) calendar days\u2019 prior written notice,<!-- [et_pb_line_break_holder] -->            without<!-- [et_pb_line_break_holder] -->            incurring termination liability, for unWired\u2019s (i) material breach of any material provision of this<!-- [et_pb_line_break_holder] -->            Agreement,<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            violation any Applicable Law that affects Customer\u2019s use of Service, which remains uncured at the end of the<!-- [et_pb_line_break_holder] -->            termination<!-- [et_pb_line_break_holder] -->            notice period and\/or (ii) unWired\u2019s insolvency, bankruptcy, assignment for the benefit of creditors,<!-- [et_pb_line_break_holder] -->            appointment<!-- [et_pb_line_break_holder] -->            of<!-- [et_pb_line_break_holder] -->            trustee or receiver of similar event.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>Termination without Cause.<\/strong> Customer understands, acknowledges and agrees that the Early<!-- [et_pb_line_break_holder] -->            Termination Fee will first be<!-- [et_pb_line_break_holder] -->            deducted from a Security Deposit.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. <span class=\"ma-text-underline\">Standard Internet Service.<\/span> A Customer that terminates the<!-- [et_pb_line_break_holder] -->                    Service Contract prior to the end of an Initial Term must<!-- [et_pb_line_break_holder] -->                    do so with advance written notice as set forth in the Terms Section herein and shall pay an Early<!-- [et_pb_line_break_holder] -->                    Termination Fee of<!-- [et_pb_line_break_holder] -->                    twenty dollars ($20.00 US) for each of the remaining months on the Service Contract. Written notice<!-- [et_pb_line_break_holder] -->                    of<!-- [et_pb_line_break_holder] -->                    termination<!-- [et_pb_line_break_holder] -->                    during a month-to-month Renewal Term is also thirty (30) calendar days but no ETF will be assessed.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. <span class=\"ma-text-underline\">Tier 5 Premium Internet Service.<\/span> Requirements to<!-- [et_pb_line_break_holder] -->                    terminate<!-- [et_pb_line_break_holder] -->                    the Services and the ETF are set forth in the Tier 5<!-- [et_pb_line_break_holder] -->                    Premium Internet Service Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. <span class=\"ma-text-underline\">Enterprise Internet Service.<\/span> Requirements to terminate<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Services and the ETF are set forth in the Enterprise<!-- [et_pb_line_break_holder] -->                    Service Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iv. <span class=\"ma-text-underline\">Specialized Internet Services.<\/span> Requirements to terminate<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    Services and the ETF are set forth in the Specialized<!-- [et_pb_line_break_holder] -->                    Service Contract.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. <strong>Early Termination Fee.<\/strong> Customer understands, acknowledges and agrees that the Customer<!-- [et_pb_line_break_holder] -->            received benefits, including<!-- [et_pb_line_break_holder] -->            without limitation, reduced installation charges, and that any ETF represents a reasonable approximation of<!-- [et_pb_line_break_holder] -->            unWired\u2019s<!-- [et_pb_line_break_holder] -->            damages for early termination and is not a penalty or forfeiture.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            D. <strong>Termination Liability:<\/strong> If unWired or Customer terminates this Agreement or any Service<!-- [et_pb_line_break_holder] -->            Contract(s) pursuant to<!-- [et_pb_line_break_holder] -->            Sections 6 or 7 above, as applicable, all Monthly Recurring Fees associated with Services rendered shall<!-- [et_pb_line_break_holder] -->            become<!-- [et_pb_line_break_holder] -->            immediately due and payable.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XI. ASSIGNMENT:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Neither Party may assign this Agreement without the prior written consent of the other Party, not<!-- [et_pb_line_break_holder] -->        to<!-- [et_pb_line_break_holder] -->        be unreasonably<!-- [et_pb_line_break_holder] -->        conditioned, withheld or delayed, except that: (a) unWired may assign its rights and\/or obligations hereunder<!-- [et_pb_line_break_holder] -->        (i) to<!-- [et_pb_line_break_holder] -->        its<!-- [et_pb_line_break_holder] -->        parent, affiliates or subsidiaries; (ii) pursuant to any merger, acquisition, reorganization, sale or transfer<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        all or<!-- [et_pb_line_break_holder] -->        substantially all its assets; or (iii) for purposes of financing. (b) Customer may assign its rights and\/or<!-- [et_pb_line_break_holder] -->        obligations<!-- [et_pb_line_break_holder] -->        hereunder (i) to its parent, affiliates or subsidiaries, (ii) pursuant to any merger, acquisition,<!-- [et_pb_line_break_holder] -->        reorganization,<!-- [et_pb_line_break_holder] -->        sale<!-- [et_pb_line_break_holder] -->        or transfer of all or substantially all its assets, provided that any assignment by Customer pursuant to this<!-- [et_pb_line_break_holder] -->        exception<!-- [et_pb_line_break_holder] -->        is subject to the following conditions: (A) the proposed assignee satisfies unWired\u2019s credit and deposit<!-- [et_pb_line_break_holder] -->        standards;<!-- [et_pb_line_break_holder] -->        (B)<!-- [et_pb_line_break_holder] -->        Customer has fully paid for all Services through the date of assignment; and (C) the proposed assignee agrees in<!-- [et_pb_line_break_holder] -->        writing<!-- [et_pb_line_break_holder] -->        to be bound by all provisions of this Agreement.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XII. COLLECTIONS:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        In the event any legal action, court proceeding or arbitration to construe or enforce any provision of this<!-- [et_pb_line_break_holder] -->        Agreement,<!-- [et_pb_line_break_holder] -->        including collection of amounts alleged to be due and owing under the Agreement and the services rendered<!-- [et_pb_line_break_holder] -->        pursuant<!-- [et_pb_line_break_holder] -->        to<!-- [et_pb_line_break_holder] -->        the Agreement, shall be commenced and maintained in an appropriate court or other forum in Fresno County,<!-- [et_pb_line_break_holder] -->        California. If<!-- [et_pb_line_break_holder] -->        any legal action, including arbitration is brought to enforce or interpret the provisions of the Agreement,<!-- [et_pb_line_break_holder] -->        including<!-- [et_pb_line_break_holder] -->        collection of amounts alleged to be due and owing under the Agreement and the services rendered pursuant to the<!-- [et_pb_line_break_holder] -->        Agreement, the prevailing Party shall be entitled to recover reasonable attorney\u2019s fees and costs, from the<!-- [et_pb_line_break_holder] -->        other<!-- [et_pb_line_break_holder] -->        Party.<!-- [et_pb_line_break_holder] -->        These fees and costs are in addition to any other relief to which the prevailing Party may be entitled.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XIII. BINDING ARBITRATION AND DISPUTE RESOLUTION AGREEMENT<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            A. THIS BINDING ARBITRATION PROVISION SAYS THAT CUSTOMER AND UNWIRED AGREE TO RESOLVE SPECIFIC CLAIMS AND<!-- [et_pb_line_break_holder] -->            DISPUTES<!-- [et_pb_line_break_holder] -->            THROUGH ARBITRATION THAT CANNOT BE RESOLVED BETWEEN UNWIRED AND CUSTOMER. PLEASE READ THIS SECTION CAREFULLY<!-- [et_pb_line_break_holder] -->            TO<!-- [et_pb_line_break_holder] -->            UNDERSTAND THIS BINDING ARBITRATION AGREEMENT AS IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS. THIS<!-- [et_pb_line_break_holder] -->            ARBITRATION<!-- [et_pb_line_break_holder] -->            PROVISION SHALL SURVIVE TERMINATION OF THIS AGREEMENT.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. This agreement between Customer and unWired to arbitrate all disputes and claims between them is intended<!-- [et_pb_line_break_holder] -->            to<!-- [et_pb_line_break_holder] -->            be<!-- [et_pb_line_break_holder] -->            broadly interpreted. Any controversy or claim arising out of or relating to this Agreement, or the breach<!-- [et_pb_line_break_holder] -->            thereof,<!-- [et_pb_line_break_holder] -->            except those involving non-payment of Monthly Recurring Fees or amounts due for the Services which may be<!-- [et_pb_line_break_holder] -->            adjudicated in<!-- [et_pb_line_break_holder] -->            court, shall be settled by arbitration administered by the American Arbitration Association (\u201cAAA\u201d) and<!-- [et_pb_line_break_holder] -->            governed<!-- [et_pb_line_break_holder] -->            by the<!-- [et_pb_line_break_holder] -->            Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively,<!-- [et_pb_line_break_holder] -->            \u201cAAA<!-- [et_pb_line_break_holder] -->            Rules\u201d),<!-- [et_pb_line_break_holder] -->            as modified by this Agreement, and shall be administered by the AAA. The AAA Rules are available online at<!-- [et_pb_line_break_holder] -->            www.adr.org,<!-- [et_pb_line_break_holder] -->            by calling the AAA at 1-800-778-7879 or by written request to unWired. The arbitrator shall be bound by the<!-- [et_pb_line_break_holder] -->            terms of<!-- [et_pb_line_break_holder] -->            this Agreement. All issues are for the arbitrator to decide, except that issues relating to the scope and<!-- [et_pb_line_break_holder] -->            enforceability<!-- [et_pb_line_break_holder] -->            of the arbitration provision are reserved to the decision of a court of competent jurisdiction in Fresno<!-- [et_pb_line_break_holder] -->            County,<!-- [et_pb_line_break_holder] -->            California. The Parties understand that the arbitration process is final and binding and waives the right<!-- [et_pb_line_break_holder] -->            have a<!-- [et_pb_line_break_holder] -->            dispute<!-- [et_pb_line_break_holder] -->            adjudicated in court; provided, however, that nothing herein shall prevent a Party from seeking injunctive<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            provisional relief in court, or from filing an action to seek payment for the Services.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. A Party who intends to seek arbitration must first send to the other Party, by certified mail, a<!-- [et_pb_line_break_holder] -->                    written notice<!-- [et_pb_line_break_holder] -->                    (\u201cArbitration Notice\u201d). An Arbitration Notice to unWired must be addressed to unWired at the address<!-- [et_pb_line_break_holder] -->                    set<!-- [et_pb_line_break_holder] -->                    forth in this<!-- [et_pb_line_break_holder] -->                    Agreement for notices. An Arbitration Notice to Customer must be addressed to Customer at Customer\u2019s<!-- [et_pb_line_break_holder] -->                    then-current<!-- [et_pb_line_break_holder] -->                    billing address. The Arbitration Notice must (i) describe the nature and basis of the claim or<!-- [et_pb_line_break_holder] -->                    dispute<!-- [et_pb_line_break_holder] -->                    and (ii) set<!-- [et_pb_line_break_holder] -->                    forth the specific relief sought. If Customer and unWired do not reach an agreement to resolve the<!-- [et_pb_line_break_holder] -->                    claim<!-- [et_pb_line_break_holder] -->                    within sixty<!-- [et_pb_line_break_holder] -->                    (60) calendar days after the Arbitration Notice is received, Customer or unWired may commence an<!-- [et_pb_line_break_holder] -->                    arbitration proceeding.<!-- [et_pb_line_break_holder] -->                    During the arbitration, the amount of any settlement offer made by unWired or Customer shall not be<!-- [et_pb_line_break_holder] -->                    disclosed to the<!-- [et_pb_line_break_holder] -->                    arbitrator until after the arbitrator determines the amount, if any, to which Customer or unWired is<!-- [et_pb_line_break_holder] -->                    entitled.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. The right to a hearing shall be determined by the AAA Rules. Regardless of the manner in which<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    arbitration is<!-- [et_pb_line_break_holder] -->                    conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the<!-- [et_pb_line_break_holder] -->                    essential<!-- [et_pb_line_break_holder] -->                    findings and<!-- [et_pb_line_break_holder] -->                    conclusions on which the award is based. The Party initiating arbitration proceedings shall bear all<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    arbitration-related costs and expenses of both Parties including, without limitation, legal fees and<!-- [et_pb_line_break_holder] -->                    expenses.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. The arbitrator may award declaratory or injunctive relief only in favor of the individual Party<!-- [et_pb_line_break_holder] -->                    seeking relief and<!-- [et_pb_line_break_holder] -->                    only to the extent necessary to provide relief warranted by that Party\u2019s individual claim. CUSTOMER<!-- [et_pb_line_break_holder] -->                    AND<!-- [et_pb_line_break_holder] -->                    UNWIRED AGREE<!-- [et_pb_line_break_holder] -->                    THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF<!-- [et_pb_line_break_holder] -->                    OR<!-- [et_pb_line_break_holder] -->                    CLASS MEMBER IN<!-- [et_pb_line_break_holder] -->                    ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both Customer and unWired agree<!-- [et_pb_line_break_holder] -->                    otherwise, the<!-- [et_pb_line_break_holder] -->                    arbitrator may not consolidate more than one person\u2019s claims, and may not otherwise preside over any<!-- [et_pb_line_break_holder] -->                    form of a<!-- [et_pb_line_break_holder] -->                    representative or class proceeding.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. Notwithstanding any provision in this Agreement to the contrary, Customer and unWired agree<!-- [et_pb_line_break_holder] -->                    that if<!-- [et_pb_line_break_holder] -->                    unWired makes<!-- [et_pb_line_break_holder] -->                    any future change to this arbitration provision (other than a change to the address to which an<!-- [et_pb_line_break_holder] -->                    Arbitration Notice is to<!-- [et_pb_line_break_holder] -->                    be sent), Customer may reject any such change by sending unWired written notice within thirty (30)<!-- [et_pb_line_break_holder] -->                    calendar days of the<!-- [et_pb_line_break_holder] -->                    change. The arbitrator shall be bound by the<!-- [et_pb_line_break_holder] -->            terms of<!-- [et_pb_line_break_holder] -->            this Agreement. All issues are for the arbitrator to decide, except that issues relating to the scope and<!-- [et_pb_line_break_holder] -->            enforceability<!-- [et_pb_line_break_holder] -->            of the arbitration provision are reserved to the decision of a court of competent jurisdiction in Fresno<!-- [et_pb_line_break_holder] -->            County,<!-- [et_pb_line_break_holder] -->            California. The Parties understand that the arbitration process is final and binding and waives the right<!-- [et_pb_line_break_holder] -->            have a<!-- [et_pb_line_break_holder] -->            dispute<!-- [et_pb_line_break_holder] -->            adjudicated in court; provided, however, that nothing herein shall prevent a Party from seeking injunctive<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            provisional relief in court, or from filing an action to seek payment for the Services.<!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. A Party who intends to seek arbitration must first send to the other Party, by certified mail, a<!-- [et_pb_line_break_holder] -->                    written notice<!-- [et_pb_line_break_holder] -->                    (\u201cArbitration Notice\u201d). An Arbitration Notice to unWired must be addressed to unWired at the address<!-- [et_pb_line_break_holder] -->                    set<!-- [et_pb_line_break_holder] -->                    forth in this<!-- [et_pb_line_break_holder] -->                    Agreement for notices. An Arbitration Notice to Customer must be addressed to Customer at Customer\u2019s<!-- [et_pb_line_break_holder] -->                    then-current<!-- [et_pb_line_break_holder] -->                    billing address. The Arbitration Notice must (i) describe the nature and basis of the claim or<!-- [et_pb_line_break_holder] -->                    dispute<!-- [et_pb_line_break_holder] -->                    and (ii) set<!-- [et_pb_line_break_holder] -->                    forth the specific relief sought. If Customer and unWired do not reach an agreement to resolve the<!-- [et_pb_line_break_holder] -->                    claim<!-- [et_pb_line_break_holder] -->                    within sixty<!-- [et_pb_line_break_holder] -->                    (60) calendar days after the Arbitration Notice is received, Customer or unWired may commence an<!-- [et_pb_line_break_holder] -->                    arbitration proceeding.<!-- [et_pb_line_break_holder] -->                    During the arbitration, the amount of any settlement offer made by unWired or Customer shall not be<!-- [et_pb_line_break_holder] -->                    disclosed to the<!-- [et_pb_line_break_holder] -->                    arbitrator until after the arbitrator determines the amount, if any, to which Customer or unWired is<!-- [et_pb_line_break_holder] -->                    entitled.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. The right to a hearing shall be determined by the AAA Rules. Regardless of the manner in which<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    arbitration is<!-- [et_pb_line_break_holder] -->                    conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the<!-- [et_pb_line_break_holder] -->                    essential<!-- [et_pb_line_break_holder] -->                    findings and<!-- [et_pb_line_break_holder] -->                    conclusions on which the award is based. The Party initiating arbitration proceedings shall bear all<!-- [et_pb_line_break_holder] -->                    the<!-- [et_pb_line_break_holder] -->                    arbitration-related costs and expenses of both Parties including, without limitation, legal fees and<!-- [et_pb_line_break_holder] -->                    expenses.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. The arbitrator may award declaratory or injunctive relief only in favor of the individual Party<!-- [et_pb_line_break_holder] -->                    seeking relief and<!-- [et_pb_line_break_holder] -->                    only to the extent necessary to provide relief warranted by that Party\u2019s individual claim. CUSTOMER<!-- [et_pb_line_break_holder] -->                    AND<!-- [et_pb_line_break_holder] -->                    UNWIRED AGREE<!-- [et_pb_line_break_holder] -->                    THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF<!-- [et_pb_line_break_holder] -->                    OR<!-- [et_pb_line_break_holder] -->                    CLASS MEMBER IN<!-- [et_pb_line_break_holder] -->                    ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both Customer and unWired agree<!-- [et_pb_line_break_holder] -->                    otherwise, the<!-- [et_pb_line_break_holder] -->                    arbitrator may not consolidate more than one person\u2019s claims, and may not otherwise preside over any<!-- [et_pb_line_break_holder] -->                    form of a<!-- [et_pb_line_break_holder] -->                    representative or class proceeding.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. Notwithstanding any provision in this Agreement to the contrary, Customer and unWired agree<!-- [et_pb_line_break_holder] -->                    that if<!-- [et_pb_line_break_holder] -->                    unWired makes<!-- [et_pb_line_break_holder] -->                    any future change to this arbitration provision (other than a change to the address to which an<!-- [et_pb_line_break_holder] -->                    Arbitration Notice is to<!-- [et_pb_line_break_holder] -->                    be sent), Customer may reject any such change by sending unWired written notice within thirty (30)<!-- [et_pb_line_break_holder] -->                    calendar days of the<!-- [et_pb_line_break_holder] -->                    change. By rejecting any future change, Customer agrees that Customer will arbitrate any dispute<!-- [et_pb_line_break_holder] -->                    between<!-- [et_pb_line_break_holder] -->                    Customer and<!-- [et_pb_line_break_holder] -->                    unWired in accordance with the language of this provision.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XIV. ENTIRE AGREEMENT, AMENDMENTS AND WAIVERS:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">This Agreement, together with the Service Contract and other documents referenced herein, and<!-- [et_pb_line_break_holder] -->        applicable tariffs set<!-- [et_pb_line_break_holder] -->        forth the entire agreement with respect to the subject matter hereof, and supersede all prior agreements,<!-- [et_pb_line_break_holder] -->        promises,<!-- [et_pb_line_break_holder] -->        representations, and negotiations between the Parties. Modifications, amendments, supplements to or waivers of<!-- [et_pb_line_break_holder] -->        this<!-- [et_pb_line_break_holder] -->        Agreement must be in writing and executed by both Parties. Either Party\u2019s failure to enforce any provision or<!-- [et_pb_line_break_holder] -->        term<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        this Agreement shall not be construed as a future or continuing waiver of such provision or term of this<!-- [et_pb_line_break_holder] -->        Agreement.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XV. GOVERNING LAW AND VENUE:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">This Agreement and any interpretation of the rights and duties of the Parties and any claim,<!-- [et_pb_line_break_holder] -->        controversy or dispute<!-- [et_pb_line_break_holder] -->        arising under or related to this Agreement not subject to the arbitration agreement between the Parties shall be<!-- [et_pb_line_break_holder] -->        governed by the laws of the State of California excluding its principles of conflicts of law. The Parties<!-- [et_pb_line_break_holder] -->        understand,<!-- [et_pb_line_break_holder] -->        acknowledge and agree that the state and federal courts of Fresno County, California alone shall have<!-- [et_pb_line_break_holder] -->        jurisdiction<!-- [et_pb_line_break_holder] -->        over<!-- [et_pb_line_break_holder] -->        all disputes arising under this Agreement not subject to arbitration. Customer consents to the personal<!-- [et_pb_line_break_holder] -->        jurisdiction<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        such courts and mediation venue.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XVI. HEADINGS:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Headings herein are for the convenience only and are not intended to have substantive<!-- [et_pb_line_break_holder] -->        significance in<!-- [et_pb_line_break_holder] -->        interpreting this<!-- [et_pb_line_break_holder] -->        Agreement.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XVII. NOTICES<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        Any notice required under this Agreement must be delivered to the receiving Party at the address listed below<!-- [et_pb_line_break_holder] -->        (a) in<!-- [et_pb_line_break_holder] -->        person, (b) by certified mail with return receipt requested, or (c) by overnight courier. A notice is deemed<!-- [et_pb_line_break_holder] -->        given<!-- [et_pb_line_break_holder] -->        (i)<!-- [et_pb_line_break_holder] -->        when delivered, if personally delivered, (ii) at the time indicated on the return receipt, if delivered by<!-- [et_pb_line_break_holder] -->        certified<!-- [et_pb_line_break_holder] -->        mail, or (iii) at the time the Party or its representative executes the delivery receipt, if delivered via<!-- [et_pb_line_break_holder] -->        courier.<!-- [et_pb_line_break_holder] -->        unWired must provide such notice to Customer\u2019s billing address, and Customer must provide such notice to unWired<!-- [et_pb_line_break_holder] -->        at<!-- [et_pb_line_break_holder] -->        215<!-- [et_pb_line_break_holder] -->        W Fallbrook Ste. 203, Fresno CA 93711, except that if Customer wishes to terminate the Services for any reason,<!-- [et_pb_line_break_holder] -->        it<!-- [et_pb_line_break_holder] -->        must<!-- [et_pb_line_break_holder] -->        deliver notice to unWired either by facsimile to 559-432-2315; via email to billing@getunwired.com; or verbally<!-- [et_pb_line_break_holder] -->        via<!-- [et_pb_line_break_holder] -->        phone to (559) 261-4444. Notice by facsimile, email, or telephone is deemed given when received by unWired.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XVIII. PUBLIC RELEASES, USE OF NAME<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Neither Party may issue a news release, public announcement, advertisement, tweet or any other<!-- [et_pb_line_break_holder] -->        social<!-- [et_pb_line_break_holder] -->        media announcement<!-- [et_pb_line_break_holder] -->        or other form of publicity regarding this Agreement or the Services provided hereunder without the prior written<!-- [et_pb_line_break_holder] -->        consent<!-- [et_pb_line_break_holder] -->        of the other Party. Customer may not use unWired\u2019s name, logo or trademark or service mark without unWired\u2019s<!-- [et_pb_line_break_holder] -->        prior<!-- [et_pb_line_break_holder] -->        written consent. Customer understands, acknowledges and agrees that unWired may use Customer\u2019s name, logo and<!-- [et_pb_line_break_holder] -->        other<!-- [et_pb_line_break_holder] -->        trademarks in materials presented to analysts and investors.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XIX. REPRESENTATIONS AND WARRANTIES:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. <strong>Mutual.<\/strong> Each Party represents and warrants that it, and the person<!-- [et_pb_line_break_holder] -->            signing on its behalf, is of the age of majority<!-- [et_pb_line_break_holder] -->            and fully authorized to enter into this Agreement.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. <strong>Customers.<\/strong><!-- [et_pb_line_break_holder] -->\n<ul><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    i. <span class=\"ma-text-underline\">All Customers.<\/span> Customer represents and warrants that: (A)<!-- [et_pb_line_break_holder] -->                    Customer will not assign, transfer, resell or sublicense<!-- [et_pb_line_break_holder] -->                    Customer\u2019s rights under this Agreement unless specifically permitted by the terms of this Agreement;<!-- [et_pb_line_break_holder] -->                    (B)<!-- [et_pb_line_break_holder] -->                    Customer will<!-- [et_pb_line_break_holder] -->                    not redistribute or share the Services with any other person or transmit the Service over a wireless<!-- [et_pb_line_break_holder] -->                    or<!-- [et_pb_line_break_holder] -->                    other network<!-- [et_pb_line_break_holder] -->                    that is not secured; (C) Customer is solely responsible and liable for breaches of the terms and<!-- [et_pb_line_break_holder] -->                    conditions of this<!-- [et_pb_line_break_holder] -->                    Agreement and any other documents incorporated by reference in this Agreement, whether such breach<!-- [et_pb_line_break_holder] -->                    results from<!-- [et_pb_line_break_holder] -->                    Customer\u2019s use of the Services or by another person using the Services via Customer Equipment or<!-- [et_pb_line_break_holder] -->                    unWired<!-- [et_pb_line_break_holder] -->                    Equipment; and<!-- [et_pb_line_break_holder] -->                    (D) when Customer transmits, uploads, posts, or submits any \u201cCustomer Material\u201d (as defined herein)<!-- [et_pb_line_break_holder] -->                    using the Service,<!-- [et_pb_line_break_holder] -->                    Customer has the legal right to do so, and that Customer\u2019s use of such Customer Material does not<!-- [et_pb_line_break_holder] -->                    violate any copyright<!-- [et_pb_line_break_holder] -->                    or trademark laws or any other third-party rights. Customer Material collectively includes without<!-- [et_pb_line_break_holder] -->                    limitation any lawful<!-- [et_pb_line_break_holder] -->                    or unlawful software, computer programs, applications, data, photographs, video and\/or audio<!-- [et_pb_line_break_holder] -->                    content,<!-- [et_pb_line_break_holder] -->                    text, files, and<!-- [et_pb_line_break_holder] -->                    other information, including emails, address book and web storage content \u2013 anything installed by<!-- [et_pb_line_break_holder] -->                    Customer on unWired\u2019s<!-- [et_pb_line_break_holder] -->                    servers not provided by unWired.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    ii. <span class=\"ma-text-underline\">Residential Customers.<\/span> Customer represents and warrants<!-- [et_pb_line_break_holder] -->                    that<!-- [et_pb_line_break_holder] -->                    the Services and the unwired Equipment shall be used<!-- [et_pb_line_break_holder] -->                    only by Customer, by members of Customer\u2019s immediate household living with Customer at the same<!-- [et_pb_line_break_holder] -->                    address,<!-- [et_pb_line_break_holder] -->                    and Customer\u2019s<!-- [et_pb_line_break_holder] -->                    visitors, or guests.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->                <\/p>\n<li class=\"sub-doc-bullets\"><!-- [et_pb_line_break_holder] -->                    iii. <span class=\"ma-text-underline\">Commercial Customers.<\/span> Customer represents and warrants<!-- [et_pb_line_break_holder] -->                    that<!-- [et_pb_line_break_holder] -->                    the Service and the unWired Equipment shall be used<!-- [et_pb_line_break_holder] -->                    only by Customer and by Customer\u2019s authorized employees, patrons, visitors, or contractors and<!-- [et_pb_line_break_holder] -->                    service<!-- [et_pb_line_break_holder] -->                    providers located<!-- [et_pb_line_break_holder] -->                    at the Customer\u2019s service address.<!-- [et_pb_line_break_holder] -->                <\/li>\n<p><!-- [et_pb_line_break_holder] -->            <\/ul>\n<p><!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. UnWired. unWired represents and warrants that installation, maintenance and delivery of the Services will<!-- [et_pb_line_break_holder] -->            be<!-- [et_pb_line_break_holder] -->            performed by qualified and trained personnel.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XX. DISCLAIMER OF WARRANTIES:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee>CUSTOMER EXPRESSLY AGREES THAT CUSTOMER USES THE SERVICES AND THE UNWIRED EQUIPMENT AT CUSTOMER\u2019S SOLE RISK. THE<!-- [et_pb_line_break_holder] -->        SERVICES AND UNWIRED EQUIPMENT ARE PROVIDED ON AN \u201cAS-IS\u201d AND \u201cAS AVAILABLE\u201d BASIS. EXCEPT FOR THE LIMITED<!-- [et_pb_line_break_holder] -->        WARRANTIES<!-- [et_pb_line_break_holder] -->        SPECIFICALLY SET FORTH IN SECTIONS 4 \u201cSERVICE LEVEL AGREEMENT, PERFORMANCE GUARANTEE AND SERVICE OUTAGE CREDIT\u201d<!-- [et_pb_line_break_holder] -->        AND<!-- [et_pb_line_break_holder] -->        18(c) \u201cUNWIRED REPRESENTATIONS AND WARRANTIES\u201d HEREIN, THE SERVICES AND THE UNWIRED EQUIPMENT ARE WITHOUT<!-- [et_pb_line_break_holder] -->        WARRANTIES<!-- [et_pb_line_break_holder] -->        OF<!-- [et_pb_line_break_holder] -->        ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF TITLE, NON-INFRINGEMENT,<!-- [et_pb_line_break_holder] -->        FITNESS<!-- [et_pb_line_break_holder] -->        FOR<!-- [et_pb_line_break_holder] -->        A PARTICULAR PURPOSE, OR MERCHANTABILITY. NEITHER UNWIRED OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES,<!-- [et_pb_line_break_holder] -->        SHAREHOLDERS, REPRESENTATIVES, AGENTS, OPERATIONAL SERVICE PROVIDERS, THIRD-PARTY SUPPLIERS OR LICENSORS, AND<!-- [et_pb_line_break_holder] -->        ANY OF<!-- [et_pb_line_break_holder] -->        THEIR SUCCESSORS AND ASSIGNS (COLLECTIVELY, \u201cUNWIRED-RELATED ENTITIES\u201d) WARRANT: (A) TO UNINTERRUPTED, TIMELY OR<!-- [et_pb_line_break_holder] -->        SECURE<!-- [et_pb_line_break_holder] -->        USE OF SERVICES; (B) THAT THE SERVICES WILL MEET CUSTOMER REQUIREMENTS; AND (C) THAT THE SERVICES WILL BE<!-- [et_pb_line_break_holder] -->        ERROR-FREE<!-- [et_pb_line_break_holder] -->        OR<!-- [et_pb_line_break_holder] -->        FREE OF ANY VIRUSES, WORMS OR OTHER MALWARE. SOME STATES DO NOT ALLOW LIMITATIONS ON THE SCOPE OF A LIMITATION<!-- [et_pb_line_break_holder] -->        OF<!-- [et_pb_line_break_holder] -->        WARRANTY OR HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO CUSTOMER.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXI. ADDITIONALLY, UNWIRED WILL HAVE NO LIABILITY FOR THE FOLLOWING: (i) FOR ANY THIRD-PARTY FEES OR CHARGES,<!-- [et_pb_line_break_holder] -->            INCLUDING<!-- [et_pb_line_break_holder] -->            BUT NOT LIMITED TO, BANKING FEES, OVERDRAFT FEES, MOBILE PHONE OR OTHER WIRE LINE CHARGES, TECHNICIAN<!-- [et_pb_line_break_holder] -->            CHARGES,<!-- [et_pb_line_break_holder] -->            OR OTHER<!-- [et_pb_line_break_holder] -->            SIMILAR CHARGES; (ii) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES<!-- [et_pb_line_break_holder] -->            OF<!-- [et_pb_line_break_holder] -->            ANY KIND<!-- [et_pb_line_break_holder] -->            WHATSOEVER; (iii) FOR DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (iv) FOR ANY DAMAGES<!-- [et_pb_line_break_holder] -->            OR<!-- [et_pb_line_break_holder] -->            LOSS DUE<!-- [et_pb_line_break_holder] -->            TO CUSTOMER\u2019S FAILURE TO BACK-UP ANY EQUIPMENT AS REQUIRED IN SECTION 1(g) HEREIN; (v) ANY LACK OR BREACH OF<!-- [et_pb_line_break_holder] -->            SECURITY<!-- [et_pb_line_break_holder] -->            CUSTOMER OR ANY OTHER PARTY MAY EXPERIENCE OR BE EXPOSED TO WHILE USING THE SERVICE; (vi) FOR ANY MATTER<!-- [et_pb_line_break_holder] -->            BEYOND<!-- [et_pb_line_break_holder] -->            UNWIRED\u2019S REASONABLE CONTROL; OR (vii) CUSTOMER\u2019S USE OF THE SERVICES FOR OR IN CONNECTION WITH ANY<!-- [et_pb_line_break_holder] -->            HIGH-RISK OR<!-- [et_pb_line_break_holder] -->            UNLAWFUL USES, OR ANY USE THAT VIOLATES THIS AGREEMENT.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXII. INDEMNIFICATION<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">Customer agrees to indemnify, defend and hold harmless unWired and UnWired-Related Entities<!-- [et_pb_line_break_holder] -->        (collectively, the \u201cunWired<!-- [et_pb_line_break_holder] -->        Indemnitees\u201d) from and against all losses, expenses, damages and costs, (including reasonable attorneys\u2019 fees)<!-- [et_pb_line_break_holder] -->        and<!-- [et_pb_line_break_holder] -->        other<!-- [et_pb_line_break_holder] -->        claims brought against any unWired Indemnitee(s) related to Customer\u2019s use of the Service or any violation of<!-- [et_pb_line_break_holder] -->        this<!-- [et_pb_line_break_holder] -->        Agreements and all other documents incorporated herein by reference) including, but not limited to, claims that<!-- [et_pb_line_break_holder] -->        Customer\u2019s use of the Service infringed on the patent, copyright, trademark or other intellectual property right<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        any<!-- [et_pb_line_break_holder] -->        third party, Customer\u2019s violation of any law or the rights of another and claims resulting from Customer\u2019s<!-- [et_pb_line_break_holder] -->        negligence.<!-- [et_pb_line_break_holder] -->        Customer agrees to pay any attorneys\u2019 fees incurred by unWired and\/or any other unWired Indemnitee in connection<!-- [et_pb_line_break_holder] -->        with<!-- [et_pb_line_break_holder] -->        the defense, investigation and response to any government investigation or inquiry related to such third-party<!-- [et_pb_line_break_holder] -->        claims.<!-- [et_pb_line_break_holder] -->        unWired reserves the right to assume the defense and control of any matter subject to indemnification by<!-- [et_pb_line_break_holder] -->        Customer,<!-- [et_pb_line_break_holder] -->        in<!-- [et_pb_line_break_holder] -->        which event Customer will cooperate with unWired in asserting any available defenses. If litigation is commenced<!-- [et_pb_line_break_holder] -->        to<!-- [et_pb_line_break_holder] -->        enforce this Agreement, the prevailing Party is entitled to reimbursement of its costs and attorneys\u2019 fees from<!-- [et_pb_line_break_holder] -->        the<!-- [et_pb_line_break_holder] -->        other Party.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXIII. SEVERABILITY:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">If any provision hereunder is declared or held invalid, illegal or unenforceable, this Agreement<!-- [et_pb_line_break_holder] -->        will<!-- [et_pb_line_break_holder] -->        be revised only to<!-- [et_pb_line_break_holder] -->        the extent necessary to make such provision(s) legal and enforceable, or if impossible, the unaffected portion<!-- [et_pb_line_break_holder] -->        of<!-- [et_pb_line_break_holder] -->        this<!-- [et_pb_line_break_holder] -->        Agreement shall remain in full force and effect so long as the Agreement remains consistent with the Parties\u2019<!-- [et_pb_line_break_holder] -->        original<!-- [et_pb_line_break_holder] -->        intent.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXIV. SURVIVAL:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">The terms and conditions of this Agreement will survive the expiration or termination of this<!-- [et_pb_line_break_holder] -->        Agreement to the extent<!-- [et_pb_line_break_holder] -->        necessary for their enforcement and for the realization of the benefit thereof by the Party to whose favor they<!-- [et_pb_line_break_holder] -->        operate.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXV. FORCE MAJEURE EVENT.<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <\/p>\n<ul><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\">A. unWired shall not be liable for any failure to perform its obligations hereunder<!-- [et_pb_line_break_holder] -->            where<!-- [et_pb_line_break_holder] -->            such failure results from<!-- [et_pb_line_break_holder] -->            mechanical, electronic or communications failure or degradation (including \u201cline-noise\u201d interference), or<!-- [et_pb_line_break_holder] -->            any<!-- [et_pb_line_break_holder] -->            \u201cForce<!-- [et_pb_line_break_holder] -->            Majeure\u201d event.<\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            B. A Force Majeure Event includes without limitation: (i) act of God; (ii) act of local, county, state,<!-- [et_pb_line_break_holder] -->            federal<!-- [et_pb_line_break_holder] -->            or other<!-- [et_pb_line_break_holder] -->            government in its sovereign or contractual capacity; (iii) act of public enemy or of war, terrorism,<!-- [et_pb_line_break_holder] -->            sabotage,<!-- [et_pb_line_break_holder] -->            civil<!-- [et_pb_line_break_holder] -->            disorder or riot; (iv) flood or adverse weather conditions, including solar flare or sun outage; (v)<!-- [et_pb_line_break_holder] -->            pandemic,<!-- [et_pb_line_break_holder] -->            epidemic<!-- [et_pb_line_break_holder] -->            or quarantine; (vi) labor strike, lock-out or other labor disturbance; (vii) fire, explosion, power failure<!-- [et_pb_line_break_holder] -->            or<!-- [et_pb_line_break_holder] -->            blackout;<!-- [et_pb_line_break_holder] -->            (viii) damage, degradation or destruction of equipment, transmission lines or the unWired Network; (ix)<!-- [et_pb_line_break_holder] -->            unavailability<!-- [et_pb_line_break_holder] -->            of right-of-way, equipment or materials; or (x) any other cause beyond a Party\u2019s reasonable control.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->        <\/p>\n<li class=\"doc-bullets\"><!-- [et_pb_line_break_holder] -->            C. When unWired is not able to provide the Service under a Force Majeure Event, the Customer shall be<!-- [et_pb_line_break_holder] -->            excused<!-- [et_pb_line_break_holder] -->            from<!-- [et_pb_line_break_holder] -->            payment for future Services directly affected by the Force Majeure Event.<!-- [et_pb_line_break_holder] -->        <\/li>\n<p><!-- [et_pb_line_break_holder] -->    <\/ul>\n<p><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXVI. RELATIONSHIP OF PARTIES; NO THIRD-PARTY BENEFICIARIES:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\">The Parties are independent contractors, and nothing herein creates or implies an agency, joint<!-- [et_pb_line_break_holder] -->        venture or partnership<!-- [et_pb_line_break_holder] -->        relationship between the Parties. This Agreement shall bind and inure to the benefit of unWired, Customer, and<!-- [et_pb_line_break_holder] -->        permitted<!-- [et_pb_line_break_holder] -->        successors and assigns. The Parties do not intend to create any rights for the benefit of any third parties.<\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><strong>XXVII. Confidentiality:<\/strong><\/pee><!-- [et_pb_line_break_holder] -->    <pee class=\"ma-text\"><!-- [et_pb_line_break_holder] -->        Each Party may disclose confidential information to the other Party in connection with the Agreement.<!-- [et_pb_line_break_holder] -->        Confidential<!-- [et_pb_line_break_holder] -->        information includes this Agreement, Service Contracts, SLAs, all pricing information and any other information<!-- [et_pb_line_break_holder] -->        that<!-- [et_pb_line_break_holder] -->        is<!-- [et_pb_line_break_holder] -->        marked confidential or bears a marking of like import, or that the Party disclosing such information states is<!-- [et_pb_line_break_holder] -->        confidential and then confirms such confidentiality in writing within ten (10) business days (\u201cConfidential<!-- [et_pb_line_break_holder] -->        Information\u201d). Confidential Information may only be used in connection with performance under this Agreement.<!-- [et_pb_line_break_holder] -->        Confidential Information may not be disclosed except to those employees or affiliates of the receiving Party who<!-- [et_pb_line_break_holder] -->        have a<!-- [et_pb_line_break_holder] -->        need to know, or to consultants or subcontractors of the receiving Party who agree to be bound by this Section.<!-- [et_pb_line_break_holder] -->        Confidential Information does not include information that is generally available to the public through no<!-- [et_pb_line_break_holder] -->        wrongful<!-- [et_pb_line_break_holder] -->        act<!-- [et_pb_line_break_holder] -->        of the receiving Party or is independently developed by the receiving Party. Upon termination or expiration of<!-- [et_pb_line_break_holder] -->        this<!-- [et_pb_line_break_holder] -->        Agreement, the receiving Party will return the Confidential Information or destroy it. The obligations of this<!-- [et_pb_line_break_holder] -->        provision<!-- [et_pb_line_break_holder] -->        will survive for five (5) years after the termination or expiration of this Agreement.<!-- [et_pb_line_break_holder] -->    <\/pee><!-- [et_pb_line_break_holder] -->    <\/div>\n<p><!-- [et_pb_line_break_holder]
